Zogo Access Terms and Conditions

  1. Parties and Pre-Existing Relationship

    1. These Terms and Conditions are agreed to between Camden National Bank (“we,” “the Bank”), and a Customer (“you,” “the Customer”) of the Bank who is a party to a Master Online Banking Agreement (“Master Services Agreement”) executed between the Bank and the Customer, which is incorporated herein by reference.
    2. If the Customer is other than a natural person, or if the Customer is signing as an Administrator (as defined in the Master Services Agreement) of any corporation, LLC, partnership, trust, estate, municipality, organization, or any other commercial, fiduciary, or other entity, you, the undersigned Customer, acknowledge that you execute this Enrollment Form both in your personal capacity, and on behalf of any entity which is a party to a Master Services Agreement which you have executed as an Administrator.
    3. All terms and conditions of the Master Services Agreement between you and the Bank remain in force (specifically including but not limited to Article IV, Section 8: Severability) except to the extent directly superseded or supplemented by this Enrollment Form.
  2. The Service

    1. The Bank has entered into an agreement with Zogo, a third-party provider of cloud-based financial education software, to make Zogo’s software available to users of the Bank’s mobile banking from within the online banking and mobile app services (“Platform”).
    2. You will have the ability to access Zogo’s software (“Content”) via a link, and the Content will display within the Bank’s Platform, without opening a separate webpage, browser tab, or mobile platform.
  3. Acknowledgement of Limitations of the Service

    1. Notwithstanding the presentation of the Content within the Bank’s Platform, you acknowledge that Zogo is solely responsible for the Content, exercises control over the Content and may change it without notice to the Bank, and that the Content does not represent the opinion or position of the Bank.
    2. Notwithstanding the presentation of the Content within the Bank’s Platform, you acknowledge that the Content does not constitute advice provided by the Bank, including but not limited to legal, tax, investment, business planning, estate planning, or any similar forms of advice which may be provided by a qualified professional.
    3. You acknowledge that, due to Zogo’s control of and responsibility for the Content, it is neither possible for nor the responsibility of the Bank to provide explanations or disclosures regarding the Content.
    4. You acknowledge the possibility of access issues due to technological or other factors beyond the Bank’s control, as described in the Master Services Agreement.
    5. You acknowledge that the Bank’s security procedures (including but not limited to Article II, Section 5 of the Master Services Agreement) are commercially reasonable and are for your protection as well as that of the Bank.
    6. You acknowledge that, from time to time, for technological, regulatory, or any other reasons not prohibited by law, the Bank may determine that it must change or restrict access to the Content. You understand that this determination is at the Bank’s discretion and acknowledge that it is reasonable and for your protection as well as that of the Bank.
  4. Acknowledgment of Risks, Indemnification, and Limitation of Liability

    1. You acknowledge that the Content may not be specific to your circumstances, and is not a substitute for advice provided by a qualified professional in the applicable field. You acknowledge that it is your responsibility to consider your own financial and/or other circumstances and consult a qualified professional in the applicable field if necessary.
    2. Notwithstanding Paragraph 3(c) above, you specifically acknowledge that although the content may refer to multiple financial products and services including investments and securities, investments and securities are Not Insured by FDIC or Any Other Government Agency, Not Bank Guaranteed, Not Bank Deposits or Obligations, and May Lose Value.
    3. You acknowledge that there may be financial or other risks to any decisions you make relating to the Content. YOU SPECIFICALLY ACKNOWLEGE YOUR OWN RESPONSBILITY TO ADDRESS ANY AND ALL RISK. THE BANK EXPRESSLY DISCLAIMS ANY LIABILITY FOR ANY FINANCIAL, LEGAL, OR OTHER CONSEQUENCES OF YOUR RELIANCE ON THE CONTENT.
    4. YOU AGREE TO INDEMNIFY AND HOLD THE BANK HARMLESS FROM ANY AND ALL DAMAGES YOU MAY INCUR AS A RESULT OF YOUR ACCESS TO THE CONTENT, INCLUDING BUT LIMITED TO CONSEQUENTIAL DAMAGES AND EMOTIONAL DISTRESS.

By accepting these terms, I the customer, acknowledge that I have read, understand, and agree to the above terms and conditions, and agree that they shall become part of the Master Services Agreement. I make these representations in both my personal capacity, and on behalf of any entity which is a party to a Master Service Agreement that I have executed as an Administrator.
